Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Workify ("Workify," "we," "us," or "our").

These Terms govern your access to and use of www.joinworkify.com, the Workify web application, trial and demonstration access, the Workify AI Service Assistant, and related services (collectively, the "Service").

The Service is offered primarily for business and professional use.

By creating an account, accepting an invitation, accessing a trial, purchasing a subscription, or otherwise using the Service, you agree to these Terms.

If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes that organization where appropriate.

If you do not agree to these Terms, do not use the Service.

Our Privacy Policy describes how we handle personal information and is incorporated into these Terms by reference.

1. Business Use and Eligibility

  • You must be legally capable of entering into a binding agreement to use the Service.
  • Unless Workify expressly agrees otherwise, you must be at least 18 years old.
  • The Service is intended for commercial, professional, dealer, service, maintenance, and technical operations and is not intended primarily for personal, family, or household use.
  • If your organization has entered into a separate Master Services Agreement, Order Form, Data Processing Agreement, enterprise agreement, or other written contract with Workify, that agreement will control to the extent it expressly conflicts with these Terms.

2. Accounts and Organization Administrators

You agree to:

  • provide accurate account information;
  • maintain accurate contact information;
  • keep authentication credentials confidential;
  • use reasonable measures to prevent unauthorized account access;
  • notify Workify promptly if you suspect unauthorized use.

You are responsible for activities conducted through your account to the extent permitted by law. You may not intentionally share credentials with unauthorized users or circumvent seat, organization, trial, or usage restrictions.

Organization Administrators

If your account belongs to a Customer Organization, administrators designated by that organization may control your access and may be able to:

  • invite or remove users;
  • assign permissions;
  • manage subscriptions;
  • manage Customer Content;
  • access organization workspace information;
  • request deletion or export of organization information.

Your relationship with the Customer Organization is separate from your relationship with Workify.

3. License to Use the Service

Subject to these Terms and payment of applicable fees, Workify grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service during the applicable subscription or authorized access period for your internal business purposes.

This is a license to use the Service, not a sale of Workify software or intellectual property. Except where applicable law prohibits the restriction, you may not use Workify intellectual property except as expressly permitted by these Terms.

4. Trials, Demonstrations, and Invite Links

Workify may provide trial or demonstration access using:

  • emailed invitation links;
  • access tokens;
  • QR codes;
  • temporary accounts;
  • limited-feature access.

Trial access:

  • may be limited by duration, requests, documents, users, or functionality;
  • may expire automatically;
  • may be modified or discontinued;
  • may be suspended or revoked for abuse, security concerns, or other legitimate reasons;
  • is provided without any commitment that trial functionality will remain available.

Unless Workify expressly authorizes sharing, trial links and access tokens may not be transferred to unauthorized persons.

5. Subscriptions, Fees, and Payment

Paid subscriptions are billed at the price, frequency, and terms presented at checkout, in an Order Form, or in another applicable written agreement. You authorize Workify and its payment processor to charge the applicable payment method for amounts due.

Automatic Renewal

If your subscription is identified as automatically renewing, it will renew for successive subscription periods unless you cancel before the applicable renewal date. You may cancel using the cancellation method made available through the Service, the applicable billing flow, or by contacting Workify where applicable. Cancellation stops future renewals but does not automatically entitle you to a refund for amounts already charged.

Taxes

Fees are exclusive of applicable taxes unless expressly stated otherwise. You are responsible for applicable sales, use, value-added, withholding, or similar taxes other than taxes imposed on Workify's net income.

Failed Payments

We may suspend or restrict paid features if payment is overdue, declined, reversed, or otherwise not received.

Usage Limits

Subscriptions may include limits relating to users, storage, AI requests, documents, messages, features, or other usage. We may enforce those limits and may require an upgrade or additional payment for usage beyond the applicable plan.

Price Changes

We may change subscription prices for future subscription periods. Where required by law or applicable contract, we will provide advance notice before a price change applies to a renewal.

6. Customer Content

"Customer Content" means documents, files, manuals, catalogs, prompts, questions, messages, data, and other material submitted to or processed through the Service by you or your Customer Organization.

Ownership

As between you and Workify, you or your Customer Organization retain ownership of Customer Content. Workify does not acquire ownership of Customer Content merely because it is uploaded to the Service.

License to Workify

You grant Workify a limited, worldwide license to host, copy, transmit, retrieve, process, display, analyze, and otherwise use Customer Content only as reasonably necessary to:

  • provide the Service;
  • generate responses requested by authorized users;
  • maintain and secure the Service;
  • troubleshoot problems;
  • provide support;
  • comply with applicable law;
  • perform other activities expressly permitted by your agreement with Workify.

This license ends when the applicable Customer Content is deleted from Workify's active systems, subject to legal obligations and ordinary backup-retention processes.

Your Responsibility for Customer Content

You represent and warrant that you have all rights, permissions, licenses, and authority necessary to submit Customer Content and permit Workify to process it as described in these Terms. You are responsible for ensuring that Customer Content does not:

  • infringe intellectual-property rights;
  • violate confidentiality obligations;
  • violate privacy rights;
  • violate applicable law;
  • contain information you are not authorized to provide.

Regulated Information

Unless Workify expressly agrees otherwise in writing, you must not intentionally submit information subject to specialized regulatory requirements that the Service has not been designed or contracted to support. This may include protected health information, payment-card credentials, Social Security numbers, government authentication credentials, biometric identifiers, or similarly sensitive regulated data.

7. AI Processing and Customer Content Training

The Service uses artificial intelligence and retrieval technologies to process user questions and relevant portions of Customer Content. Unless the applicable Customer Organization expressly authorizes otherwise:

  • Workify will not use Customer Content to train a generalized AI model for the benefit of unrelated Workify customers.
  • Workify may use aggregated, statistical, technical, or de-identified information to operate, analyze, secure, and improve the Service.
  • Third-party AI and infrastructure providers may process information on Workify's behalf as described in our Privacy Policy and applicable contractual arrangements.

8. AI-Generated Output and Safety

8.1 AI Output Can Be Wrong

The Workify AI Service Assistant generates responses automatically. AI-generated responses may:

  • contain errors;
  • omit important information;
  • misunderstand a question;
  • retrieve the wrong document section;
  • apply information to the wrong model, serial number, configuration, or equipment version;
  • fail to identify warnings or exceptions;
  • rely on incomplete or outdated Customer Content;
  • appear confident even when incorrect.

Workify does not warrant that AI-generated output is accurate, complete, current, safe, or appropriate for a particular machine, repair, diagnosis, or circumstance.

8.2 Official Documentation Controls

AI-generated output is a reference and assistance tool. It does not replace:

  • original manufacturer documentation;
  • safety warnings;
  • technical bulletins;
  • engineering instructions;
  • applicable laws and regulations;
  • professional judgment;
  • workplace safety requirements;
  • your organization's procedures.

If Workify output conflicts with applicable manufacturer documentation, safety requirements, law, or an authorized technical instruction, the authoritative source controls and the Workify output must not be followed.

8.3 You Must Verify Before Acting

Before acting on Workify output, you are responsible for verifying:

  • the identity of the equipment;
  • model and serial information;
  • applicable configuration;
  • the relevant source documentation;
  • warnings and prerequisites;
  • the accuracy and completeness of the proposed procedure;
  • whether the work should be performed by appropriately qualified personnel.

8.4 Safety-Critical Uses

You must not rely on Workify as the sole source of instructions where an incorrect answer could reasonably result in:

  • death or bodily injury;
  • fire or explosion;
  • electrical injury;
  • environmental harm;
  • damage to machinery or property;
  • disabling or defeating a safety mechanism;
  • violation of a legally required safety procedure.

Workify does not physically inspect equipment and does not independently verify the current condition, configuration, maintenance history, measurements, sensor readings, or surrounding environment unless that information is expressly supplied through the Service.

8.5 No Autonomous Machine Control

Unless expressly authorized by Workify in a separate written agreement, you may not use AI-generated output to directly and automatically control machinery, execute machine commands, defeat interlocks, or operate equipment without appropriate human review and applicable safety controls.

8.6 No High-Impact Decisions About People

The Service is not designed to determine a person's eligibility for:

  • employment;
  • termination or promotion;
  • credit;
  • lending;
  • housing;
  • insurance;
  • education;
  • healthcare;
  • legal rights;
  • government benefits;
  • similarly significant opportunities or services.

You may not use Workify as the sole or automated decision-maker for those purposes.

9. Acceptable Use

You may not use or attempt to use the Service to:

  • violate applicable law;
  • violate intellectual-property, privacy, confidentiality, or other third-party rights;
  • upload material you are not authorized to use;
  • introduce malware, malicious code, or harmful files;
  • interfere with or disrupt the Service;
  • gain unauthorized access to accounts, systems, or networks;
  • bypass authentication, usage limits, subscriptions, permissions, or access controls;
  • probe or test vulnerabilities without Workify's written authorization;
  • scrape or systematically harvest Service content through unauthorized automated means;
  • reverse engineer, decompile, or attempt to discover source code or underlying proprietary technology except where applicable law expressly permits it;
  • extract or replicate underlying models, prompts, embeddings, datasets, or proprietary system components;
  • impersonate another person or organization;
  • resell or sublicense the Service unless an applicable plan or written agreement permits it;
  • use the Service in a manner reasonably likely to damage Workify, other users, or third parties.

We may investigate suspected violations and take reasonable measures to prevent abuse.

10. Intellectual Property

Except for Customer Content, Workify and its licensors retain all right, title, and interest in:

  • the Service;
  • software;
  • user interfaces;
  • branding;
  • Workify trademarks;
  • workflows;
  • retrieval systems;
  • databases;
  • proprietary technology;
  • documentation created by Workify.

No rights are granted except those expressly stated in these Terms.

AI Output

As between Workify and the applicable Customer, and subject to third-party rights and applicable law, Workify does not claim ownership of Customer-specific AI output merely because the Service generated it. Your use of output remains subject to:

  • these Terms;
  • rights in the underlying Customer Content;
  • applicable third-party intellectual-property rights;
  • applicable law.

Workify does not warrant that every AI-generated output is eligible for intellectual-property protection or free of third-party rights.

Feedback

If you voluntarily provide ideas, suggestions, or feedback about the Service, you grant Workify a perpetual, worldwide, irrevocable, royalty-free right to use that feedback without restriction or compensation, provided we do not publicly identify you as the source without permission.

11. Confidentiality

Each party may receive non-public information of the other party that reasonably should be understood to be confidential ("Confidential Information"). Customer Content that is not publicly available will be treated as Customer Confidential Information.

The receiving party will:

  • use Confidential Information only as reasonably necessary for the relationship;
  • protect it using at least reasonable care;
  • disclose it only to personnel, contractors, professional advisers, and service providers with a legitimate need to know and appropriate confidentiality obligations.

Confidential Information does not include information that the receiving party can demonstrate:

  • was lawfully known without confidentiality restrictions;
  • becomes public through no breach of these Terms;
  • is received lawfully from another source without confidentiality restrictions;
  • is independently developed without use of the other party's Confidential Information.

A party may disclose Confidential Information when legally required, provided it gives advance notice where legally permitted and reasonably cooperates with efforts to obtain protective treatment.

12. Third-Party Services and Infrastructure

Workify relies on third-party providers for functions such as:

  • cloud hosting;
  • authentication;
  • databases;
  • storage;
  • billing;
  • transactional email;
  • analytics;
  • artificial-intelligence processing.

Third-party outages, errors, changes, or failures may affect the Service. Workify may add, remove, or replace service providers as reasonably necessary to operate and develop the Service. Nothing in these Terms creates a direct contractual relationship between you and a Workify service provider unless you separately enter into one.

13. Service Availability and Changes

We may update, modify, add, remove, or discontinue Service features from time to time. We do not guarantee that every feature will remain available indefinitely. Unless a separate written Service Level Agreement expressly applies, Workify does not guarantee any particular uptime, response time, recovery time, or availability level. We may perform maintenance and may temporarily restrict Service access for security, maintenance, upgrades, provider outages, or other operational reasons.

14. Suspension

We may suspend or restrict access where reasonably necessary because of:

  • violation of these Terms;
  • overdue payment;
  • suspected fraud;
  • security threats;
  • unauthorized use;
  • excessive or abusive use;
  • legal or regulatory requirements;
  • conduct that creates a material risk to Workify, customers, users, or third parties.

Where circumstances reasonably permit, we may provide notice and an opportunity to address the issue. We may suspend immediately where continued access creates a security, safety, legal, or material operational risk.

15. Termination

You may stop using the Service at any time and may cancel a subscription in accordance with the applicable subscription terms. Workify may terminate these Terms or your access:

  • for material violation of these Terms;
  • for nonpayment;
  • where required by law;
  • where continued provision creates an unacceptable security or legal risk;
  • according to an applicable Order Form or separate agreement.

Upon termination, your right to access the Service ends. Customer Content will be handled in accordance with the Privacy Policy, applicable Customer Organization instructions, and any separate written agreement.

Any provisions that by their nature should survive termination — including provisions relating to intellectual property, confidentiality, disclaimers, liability, indemnification, payment obligations, and disputes — will survive.

16. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, AI-GENERATED OUTPUT, TRIAL SERVICES, AND RELATED MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

WORKIFY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, CONDITIONS, AND GUARANTEES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • RELIABILITY;
  • AVAILABILITY.

WITHOUT LIMITING THE FOREGOING, WORKIFY DOES NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE;
  • CUSTOMER CONTENT WILL NEVER BE LOST;
  • AI OUTPUT WILL BE ACCURATE, COMPLETE, CURRENT, OR SAFE;
  • AI OUTPUT WILL IDENTIFY EVERY RELEVANT WARNING;
  • THE SERVICE WILL DIAGNOSE ANY EQUIPMENT PROBLEM CORRECTLY;
  • THE SERVICE WILL MEET EVERY CUSTOMER'S REQUIREMENTS.

YOU ARE RESPONSIBLE FOR DETERMINING WHETHER THE SERVICE AND ANY OUTPUT ARE APPROPRIATE FOR YOUR INTENDED USE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WORKIFY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY.

THIS INCLUDES, TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOSSES ARISING FROM:

  • RELIANCE ON AI-GENERATED OUTPUT;
  • INCORRECT DIAGNOSIS OR REPAIR INFORMATION;
  • EQUIPMENT DOWNTIME;
  • PROPERTY OR EQUIPMENT DAMAGE;
  • LOST CUSTOMER CONTENT;
  • THIRD-PARTY PROVIDER FAILURES;
  • SERVICE INTERRUPTIONS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORKIFY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNTS ACTUALLY PAID TO WORKIFY BY THE APPLICABLE CUSTOMER FOR THE SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • US$100 IF THE CLAIM RELATES ONLY TO FREE, DEMONSTRATION, OR TRIAL ACCESS.

Multiple claims do not increase this limit. Nothing in these Terms excludes or limits liability that applicable law does not permit to be excluded or limited. The parties acknowledge that the warranty disclaimers and liability limitations are a material basis of the commercial arrangement reflected in these Terms.

18. Indemnification

To the maximum extent permitted by law, you and, where applicable, your Customer Organization agree to defend, indemnify, and hold harmless Workify and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, costs, and reasonable legal fees arising out of or relating to:

  • Customer Content;
  • your violation of these Terms;
  • your violation of applicable law;
  • infringement or alleged infringement caused by Customer Content;
  • unauthorized use of the Service through your account;
  • your unsafe, unlawful, or unauthorized use of AI-generated output;
  • your use of AI output contrary to authoritative manufacturer documentation or applicable safety requirements;
  • an integration or automated system created or controlled by you that uses Workify output.

Workify will provide reasonable notice of an indemnified claim where practicable. You may not settle a claim in a manner that admits wrongdoing by Workify, imposes obligations on Workify, or restricts Workify's rights without Workify's written consent.

19. Export Controls and Sanctions

You may not use, export, re-export, transfer, or provide access to the Service in violation of applicable export-control, sanctions, or trade laws. You represent that you are not prohibited from receiving the Service under applicable trade restrictions.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules, except to the extent applicable law requires otherwise.

Subject to any mandatory rights or remedies that cannot lawfully be waived, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be brought in the state courts located in California or the applicable federal court with jurisdiction in California. You and Workify consent to the personal jurisdiction of those courts and agree that California is a proper forum for such disputes.

If an applicable enterprise agreement, Master Services Agreement, Order Form, or other signed agreement contains a different dispute-resolution provision, that signed agreement controls to the extent of any conflict.

Nothing in this section limits any right that applicable law prohibits the parties from waiving, including rights that may apply to California consumers or other protected persons.

21. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide notice as required by applicable law, which may include email, an in-Service notice, or another reasonable method. Changes will apply prospectively from the stated effective date. Where applicable law requires affirmative consent to a material change, we will obtain that consent. Continued use after an effective change constitutes acceptance only to the extent permitted by applicable law.

22. Electronic Communications

You agree that Workify may provide Service-related notices electronically, including by email or through the Service. You are responsible for maintaining a current email address associated with your account. Marketing or other non-essential communications may be unsubscribed from where applicable, but you may continue to receive operational, security, billing, legal, or account communications that are necessary to provide the Service.

23. Assignment

You may not assign or transfer these Terms without Workify's written consent, except where applicable law provides otherwise. Workify may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or transfer of the Service.

24. Force Majeure

Workify will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, fire, utility failures, Internet outages, telecommunications failures, cyberattacks, labor disputes, governmental action, war, civil unrest, epidemics, or failures of third-party infrastructure providers. This provision does not excuse payment obligations already due.

25. General Terms

Entire Agreement. These Terms, the Privacy Policy, applicable Order Forms, and any other agreement expressly incorporated by reference constitute the agreement governing your use of the Service.

Order of Precedence. If a separately signed agreement or Order Form expressly conflicts with these Terms, the signed agreement or Order Form controls for that conflict.

Severability. If a provision is held unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

No Waiver. Failure to enforce a provision does not waive the right to enforce it later.

Relationship. The parties are independent contractors. These Terms do not create a partnership, employment, agency, franchise, or joint venture relationship.

No Third-Party Beneficiaries. Except where expressly stated otherwise, these Terms do not create rights for third-party beneficiaries.

Headings. Section headings are for convenience only and do not affect interpretation.
